NOTICE OF BINDING ARBITRATION
THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION IN SECTION 31 THAT AFFECTS YOUR LEGAL RIGHTS. EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND THE COMPANY WILL BE RESOLVED BY MANDATORY BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, REPRESENTATIVE ACTION, OR JURY TRIAL.

When you use any of our websites, products, services, software, newsletters, AI tools, SMS programs, communities, or digital offerings, you agree to these Terms.
We operate multiple brands and products, including AlexListens, Alex the Sherpa, The Daily Hug, Hug Society, ThankYouGram, PrideNomad, ZenWareAI, CareEcho, CADENCE, Seagrass Media Group services, and related or future offerings.
Some of our tools are AI-powered companions or emotionally supportive experiences. They may feel personal, but they are not therapy, medical care, crisis support, counseling, diagnosis, or professional treatment.
Some of our tools analyze business conversations, sales calls, transcripts, recordings, CRM notes, messages, or other user-submitted materials. If you upload or submit anything, you are responsible for having all legal rights and consents.
Interactions with our services may be recorded, stored, transcribed, processed, analyzed, and reviewed. These processes help us operate, improve, protect, and support the services, but they are not continuous, real-time, or guaranteed.
Your communications with our services are not confidential or privileged like communications with a doctor, therapist, attorney, clergy member, or other licensed professional.
We do not sell your personal conversations or identifiable personal data. We may use anonymized, de-identified, aggregated, or statistical data to improve our services, create insights, support research, or develop new products.
If someone else sponsors, pays for, or enrolls you in a plan, limited alerts or account-related notices may be available depending on the product and plan. These alerts are automated, limited, and not guaranteed.
For AlexListens voice usage, billing may occur in 6-second increments. Usage is measured by the system and rounded up to the nearest applicable billing increment.
“Unlimited” access means normal human usage. It does not mean automated, abusive, excessive, system-straining, or around-the-clock usage.
We do not guarantee emotional outcomes, business outcomes, sales results, financial results, travel results, relationship outcomes, subscriber growth, revenue increases, or any other specific result.
You are responsible for your decisions, actions, interpretations, and use of any output, content, recommendation, analysis, or suggestion.
If you are in crisis or danger, contact emergency services, a crisis hotline, a qualified professional, or a trusted human immediately. Do not rely on our services for emergencies.

1. Acceptance of Terms
By accessing, browsing, subscribing to, purchasing from, registering for, uploading to, interacting with, or otherwise using any service offered by the Company, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.
If you do not agree with these Terms, do not use the services.
These Terms apply whether you are a visitor, user, subscriber, customer, sponsor, recipient, organization, employee, contractor, caregiver, client, business user, community member, or other participant.
2. Company Identity and Scope
These Terms apply to all products, brands, services, software, platforms, tools, websites, newsletters, content, SMS programs, communities, and offerings operated by FranklinAlexander Ventures, LLC, doing business as Seagrass Media Group.
Covered services include, without limitation:
- AlexListens
- Alex the Sherpa
- The Daily Hug
- Hug Society
- ThankYouGram
- PrideNomad
- ZenWareAI
- CareEcho
- CADENCE
- Seagrass Media Group websites and services
- AI tools, software, automations, prompts, agents, workflows, communities, memberships, newsletters, reports, digital products, courses, trainings, consulting services, media properties, and future offerings
All of the above are collectively referred to as the “Services.”
3. Changes to These Terms
We may update these Terms at any time. When we do, we will revise the “Last Updated” date above.
Your continued use of the Services after updated Terms are posted means you accept the updated Terms.
For material changes affecting paid subscriptions, pricing, billing, data practices, or dispute rights, we will make commercially reasonable efforts to provide notice where required or appropriate.
4. Description of Services
The Company provides AI-powered tools, emotionally supportive experiences, business analysis tools, sales intelligence tools, newsletters, media content, travel-related content, SMS-based messages, digital products, software, strategy tools, consulting services, and related offerings.
Our Services may include:
- AI companionship and emotional support
- Voice or text-based AI conversations
- Sales call analysis and transcript review
- AI sales coaching, roleplay, rehearsal, or deal analysis
- AI-generated recommendations, summaries, scripts, or insights
- Newsletters, daily messages, inspirational content, and paid communities
- Travel, lifestyle, relocation, LGBTQ+ travel, and PrideNomad content
- ThankYouGram or other user-initiated SMS messages
- AI-powered productivity tools, workflow tools, and automation systems
- Courses, workshops, trainings, reports, guides, memberships, or consulting
- Other related services launched under the Company or its brands
We may change, suspend, replace, discontinue, rename, repackage, or modify any Service at any time.
5. AlexListens Introductory Session
AlexListens may offer a complimentary introductory conversation, such as a 7-minute no-cost session.
This introductory experience:
- Does not require a payment method unless stated otherwise
- Does not automatically enroll you in a paid subscription
- Is not a “free trial” unless expressly described as one
- Is a standalone introductory experience with no obligation to continue
We may change or discontinue any complimentary introductory offer at any time.
6. Eligibility
You must be at least 13 years old to use the Services.
Users under 18 must have permission from a parent or legal guardian.
Some Services may be restricted to users 18 or older, depending on the product, jurisdiction, payment method, content, or risk profile.
Our Services are not directed to children under 13. We do not knowingly collect personal information from children under 13.
If you enroll, invite, sponsor, pay for, or provide access to another person, you represent that you have the legal authority, relationship, and informed consent necessary to do so.
7. No Professional Advice
The Services are provided for informational, educational, supportive, analytical, creative, strategic, entertainment, or productivity purposes only.
Unless separately agreed in a signed written agreement, the Services do not provide:
- Medical advice
- Mental health care
- Therapy
- Counseling
- Crisis intervention
- Psychiatric care
- Diagnosis
- Treatment
- Legal advice
- Financial advice
- Tax advice
- Investment advice
- Employment advice
- Safety monitoring
- Professional supervision
- Guaranteed business advice
- Guaranteed sales coaching
- Licensed professional services
You are solely responsible for your decisions, actions, interpretations, communications, purchases, business choices, emotional choices, financial choices, travel choices, and use of any information or output generated by the Services.
8. AI Limitations
Some Services use artificial intelligence, machine learning, large language models, voice models, transcription tools, automation, third-party AI infrastructure, or related technologies.
AI outputs may be:
- Inaccurate
- Incomplete
- Outdated
- Misleading
- Emotionally imperfect
- Unsuitable for your specific situation
- Legally or commercially inappropriate
- Based on incomplete context
- Affected by errors in user-submitted content
- Affected by third-party systems or models
You should independently review, verify, and use judgment before relying on any AI-generated output.
We do not guarantee that AI outputs will be accurate, safe, compliant, effective, emotionally appropriate, revenue-producing, clinically appropriate, or suitable for any particular user, organization, purpose, or circumstance.
9. Emotional Support Services
Certain Services, including AlexListens, The Daily Hug, Hug Society, ThankYouGram, and related experiences, may provide emotionally supportive, reflective, affirming, inspirational, or companion-like content.
These Services may feel personal. That is intentional. But they are not human, licensed, clinical, therapeutic, medical, or crisis-response services.
You understand and agree that:
- Alex is not a therapist
- Alex is not a doctor
- Alex is not a crisis responder
- Alex is not a licensed professional
- Alex is not a replacement for real-world human relationships
- Alex is not a substitute for professional care
- Emotional content does not constitute therapy, treatment, diagnosis, or medical advice
You should not rely on any Service as your sole or primary source of emotional support, mental health support, decision-making, companionship, safety, or crisis assistance.
10. Crisis and Emergency Disclaimer
The Services are not designed for emergencies.
If you are in immediate danger, considering self-harm, experiencing a medical emergency, experiencing a mental health crisis, being abused, threatening harm to another person, or believe someone else may be at risk, contact emergency services, a crisis hotline, a qualified professional, or a trusted human immediately.
The Company:
- Does not monitor conversations in real time
- Does not guarantee detection of emotional distress, self-harm risk, abuse, danger, crisis, or concerning language
- Has no obligation to detect, respond to, escalate, intervene, contact anyone, or provide emergency support
- Does not assume responsibility for user safety, wellbeing, emotional state, behavior, or outcomes
Any safety-related features, alerts, flags, recommendations, messages, resources, or automated notices are provided as a courtesy only.
The provision of any safety-related resource does not create a duty to monitor, detect, intervene, rescue, report, contact, prevent harm, or respond.
The Company assumes no responsibility or liability for failure to detect, respond to, or act upon any user condition, including emotional distress, self-harm risk, abuse, neglect, crisis, or emergency.
11. Data Recording, Storage, Processing, and Review
Interactions with the Services may be recorded, stored, transcribed, processed, analyzed, reviewed, logged, or otherwise handled by the Company, its systems, vendors, contractors, support personnel, or technology providers.
This may include:
- Voice calls
- Text chats
- Uploaded audio
- Uploaded video
- Transcripts
- SMS messages
- User prompts
- CRM notes
- Sales call recordings
- Business materials
- Uploaded documents
- Feedback
- Testimonials
- Account activity
- Usage history
- Metadata and system logs
These processes may be used to:
- Operate the Services
- Improve performance and responsiveness
- Personalize the user experience
- Provide customer support
- Debug technical issues
- Enforce these Terms
- Maintain platform integrity
- Support limited safety-related processes
- Protect users, the Company, and third parties
- Prevent abuse, fraud, or misuse
- Comply with legal obligations
- Create anonymized or aggregated insights
These processes are not continuous, real-time, or guaranteed.
By using the Services, you consent to this recording, storage, transcription, processing, analysis, and review.
12. No Confidentiality or Legal Privilege
No communications with the Company, the Services, Alex, Sherpa, ZenWareAI, support staff, contractors, software systems, AI tools, communities, or related offerings are confidential or privileged under any legal, professional, clinical, therapeutic, ethical, fiduciary, clergy, attorney-client, doctor-patient, therapist-patient, or similar standard.
Do not submit information you require to remain legally privileged, professionally confidential, or protected from disclosure.
You provide all information at your own risk, including risks related to:
- Data security incidents
- Vendor processing
- Third-party discovery
- Legal process
- Account access
- Sponsor access where applicable
- Unauthorized user behavior
- User error
- System failure
This section does not mean we disregard privacy. It means the Services do not create professional confidentiality or legal privilege.
Our privacy practices are described in the Privacy Policy.
13. User Content and Submission Responsibility
You are solely responsible for anything you submit, upload, paste, record, transmit, send, request, import, connect, or provide to the Services.
This includes, without limitation:
- Sales calls
- Recordings
- Transcripts
- Customer conversations
- CRM notes
- Emails
- SMS messages
- Business documents
- Personal stories
- Travel information
- Images
- Video
- Audio
- Testimonials
- Feedback
- Prompts
- Private data
- Third-party information
- Client information
- Confidential business materials
- Regulated or sensitive information
By submitting content, you represent and warrant that:
- You own the content or have the necessary rights and permissions
- You have obtained all legally required consents from all parties
- You are authorized to record, upload, process, analyze, and transmit the content
- Your submission does not violate recording laws, wiretap laws, privacy laws, employment obligations, confidentiality obligations, intellectual property rights, platform rules, contracts, or third-party rights
- You are not submitting content unlawfully
- You will provide proof of consent, authorization, or rights upon request
The Company does not verify user consent and is not responsible for your compliance with applicable laws.
You agree to defend, indemnify, and hold harmless the Company from all claims, damages, losses, liabilities, costs, and expenses arising from your content, including claims related to recording laws, wiretap laws, privacy laws, unauthorized disclosure, confidentiality violations, intellectual property infringement, employment disputes, or unlawful submissions.
14. Recording Consent for Alex the Sherpa and Business Tools
Alex the Sherpa and related business tools may analyze sales calls, transcripts, voice recordings, meeting notes, CRM data, customer communications, and other business materials.
If you upload, paste, connect, record, or submit any call, transcript, recording, or customer communication, you certify that:
- You have all legally required consent from every required party
- You have complied with all applicable one-party or all-party consent laws
- You have complied with applicable wiretap, privacy, employment, call-recording, and data protection laws
- You have the authority to submit the content for AI analysis
- You are not violating employer, customer, vendor, contractual, confidentiality, or platform obligations
You agree to provide proof of such consent and authority immediately upon request.
The Company may require a checkbox, attestation, or additional consent certification before allowing uploads or analysis.
The Company may refuse, delete, restrict, suspend, or terminate access if it believes submitted content creates legal, privacy, security, contractual, or reputational risk.
15. Sponsored, Caregiver, Family, Employer, Organization, and Third-Party Plans
Some Services may allow a sponsor, caregiver, family member, employer, organization, facility, agency, partner, or other third party to pay for, provide access to, invite, enroll, or manage a user.
If you sponsor, enroll, invite, manage, or pay for another user, you represent and warrant that:
- You have legal authority to do so
- You have obtained any required informed consent
- You will not use the Services for unlawful surveillance, coercion, manipulation, harassment, employment retaliation, discrimination, or unauthorized monitoring
- You understand that the Services are not a substitute for supervision, caregiving, clinical care, therapy, crisis monitoring, professional assessment, or emergency response
Depending on the product and plan, sponsors may receive limited alerts, account-related notices, usage summaries, or concerning-pattern notices.
Such alerts or notices:
- Are automated or system-assisted
- Are limited in scope
- Are not guaranteed
- May be delayed, incomplete, inaccurate, unavailable, or incorrect
- Do not include full transcripts unless explicitly authorized or legally permitted
- Do not replace human judgment, caregiving, supervision, professional monitoring, or emergency action
Sponsors are solely responsible for interpreting and acting on any alerts or information they receive.
The Company is not responsible for sponsor action, inaction, misunderstanding, delay, misuse, or reliance.
Sponsors agree to hold the Company harmless for any good-faith communications, notices, alerts, omissions, or actions related to sponsored accounts.
16. Data Use, Aggregated Data, and Anonymized Insights
We do not sell personal conversations or identifiable personal call logs as individually identifiable data.
However, you acknowledge and agree that the Company may use, create, analyze, commercialize, publish, license, share, or monetize anonymized, de-identified, aggregated, or statistical data derived from use of the Services.
This may include data used to:
- Improve the Services
- Improve AI responsiveness
- Develop new products
- Create behavioral insight reports
- Create sales trend reports
- Create wellness or emotional-support insights
- Support research
- Support mission-aligned partners
- Understand usage patterns
- Improve safety-related processes
- Maintain system integrity
- Train, test, evaluate, or refine systems where permitted
- Build internal benchmarks or industry-level analysis
We will not intentionally publish or sell data that personally identifies you in connection with private conversations unless you separately authorize it or we are legally required to disclose it.
17. User Submissions, Feedback, Testimonials, and Promotional Content
If you submit testimonials, reviews, feedback, comments, suggestions, feature requests, screenshots, public posts, audio samples, videos, emails, case studies, survey responses, success stories, or other materials to the Company, you grant the Company a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, adapt, edit, publish, display, distribute, create derivative works from, and otherwise use that content for product development, research, marketing, training, promotional, educational, or commercial purposes.
However, this license does not apply to the following unless separately and explicitly authorized:
- Private AlexListens conversations
- Private SMS messages
- ThankYouGram content delivered via text message
- Alex the Sherpa sales call recordings or transcripts
- Confidential business materials
- Customer data uploaded for analysis
- Private user conversations reasonably understood to be confidential
You confirm that you have the rights to submit any content you provide.
We may edit testimonials or promotional submissions for length, clarity, grammar, or formatting, provided we do not materially misrepresent your statement.
Individual experiences vary. Testimonials do not guarantee results.
18. Product-Specific Service Terms
18.1 AlexListens
AlexListens is an AI-powered companion and emotionally supportive conversation service offered through voice, text, or related formats.
AlexListens is not therapy, not medical care, not crisis support, not counseling, not diagnosis, and not a substitute for human relationships or professional care.
AlexListens conversations may be recorded, stored, transcribed, processed, analyzed, and reviewed as described in these Terms and the Privacy Policy.
You should not rely on AlexListens as your sole or primary source of emotional support.
18.2 Alex the Sherpa
Alex the Sherpa provides sales conversation analysis, call review, transcript analysis, deal-risk identification, roleplay, rehearsal, coaching-style feedback, and related business intelligence.
Alex the Sherpa does not guarantee:
- Closed deals
- Recovered opportunities
- Increased revenue
- Better close rates
- Quota attainment
- Employment security
- Promotion
- Reduced churn
- Improved sales performance
- Accuracy of any sales diagnosis
All outputs are suggestions and analysis only.
You are responsible for all sales, business, employment, customer, and communication decisions.
18.3 The Daily Hug and Hug Society
The Daily Hug and Hug Society provide emotional support content, newsletters, community experiences, paid memberships, digital messages, and related materials.
They are not therapy, medical care, counseling, crisis services, or professional treatment.
We do not guarantee emotional improvement, healing, relief, behavioral change, happiness, subscriber growth, engagement, or any personal outcome.
18.4 ThankYouGram
ThankYouGram allows users to initiate appreciation, gratitude, emotional-support, or notification messages, including SMS messages.
You are responsible for ensuring that you have permission to provide recipient contact information.
ThankYouGram messages are user-initiated transactional messages unless the recipient separately opts into marketing.
Recipients may opt out of SMS messages by replying STOP.
We are not responsible for how recipients interpret, respond to, forward, ignore, or feel about any message sent through ThankYouGram.
18.5 PrideNomad
PrideNomad may provide LGBTQ+ travel content, relocation information, newsletters, guides, recommendations, directories, community resources, affiliate links, sponsorships, trip ideas, and related media.
PrideNomad content is informational only and does not constitute legal, immigration, tax, medical, financial, safety, or travel-security advice.
Travel conditions, laws, safety risks, visa rules, costs, lodging, transportation, LGBTQ+ rights, and local circumstances can change quickly.
You are responsible for verifying current conditions, laws, entry requirements, personal safety considerations, and professional advice before making travel, relocation, spending, immigration, or lifestyle decisions.
We may receive affiliate commissions, sponsorship fees, advertising revenue, or other compensation from partners, advertisers, products, accommodations, services, or links mentioned in PrideNomad content.
18.6 ZenWareAI
ZenWareAI and related tools may provide AI-powered productivity, automation, writing, planning, business strategy, content generation, workflow support, software assistance, or operational systems.
Outputs may be inaccurate, incomplete, unsuitable, or require human review.
You are responsible for reviewing, testing, editing, implementing, and verifying all outputs before use.
We do not guarantee productivity gains, software compatibility, technical performance, operational results, business results, revenue, compliance, security, or accuracy.
18.7 Seagrass Media Group Services
Seagrass Media Group may provide consulting, media, marketing, publishing, training, content, advertising, strategy, implementation, and related services.
Unless a separate written agreement provides otherwise, all such services are provided on a best-efforts basis.
We do not guarantee traffic, conversions, sales, subscribers, sponsors, revenue, virality, placements, press, ranking, client acquisition, business growth, funding, or profitability.
19. Founding Member, Promotional, Grandfathered, and Lifetime Pricing
From time to time, the Company may offer Founding Member, promotional, grandfathered, lifetime, beta, early adopter, or special pricing.
If you enrolled during a Founding Member or similar promotional period, your pricing may be grandfathered for the lifetime of your active subscription, only as expressly stated at the time of purchase.
Unless otherwise stated in writing:
- The pricing applies only to the specific plan, product, account, and user purchased
- The pricing is not transferable
- The pricing may be lost if your subscription is canceled, paused, interrupted, downgraded, upgraded, transferred, refunded, charged back, or fails payment
- Reactivation may be subject to then-current pricing
- If a plan is discontinued, replaced, or materially changed, we may migrate your subscription to a comparable plan
- We may adjust pricing if technology costs, infrastructure costs, AI costs, vendor costs, legal costs, compliance costs, tax obligations, platform costs, or operating conditions materially change
If we make a material pricing change to an active paid subscription, we will provide at least 30 days’ advance notice where commercially reasonable and give you the option to cancel before the change takes effect.
We created early pricing to thank early users for support.
It is not a guarantee that every feature, benefit, pricing model, usage level, or product structure will remain unchanged forever.
20. Billing, Payments, Subscriptions, and Access
Some Services may be free, paid, subscription-based, usage-based, credit-based, sponsored, enterprise-priced, one-time purchase, or donation-supported.
By purchasing or using a paid Service, you authorize the Company and its payment processors to charge your payment method according to the plan, purchase, subscription, usage, invoice, checkout page, order form, or written agreement.
Unless otherwise stated:
- Fees are billed in advance
- Subscriptions renew automatically
- You are responsible for canceling before renewal
- Taxes may apply
- Failed payments may result in suspension, downgrade, or termination
- Chargebacks may result in account suspension or loss of promotional pricing
- Access may begin immediately upon payment or account creation
- Digital access constitutes delivery of the purchased Service
Prices, plans, features, credits, usage units, and billing models may change with notice where required.
21. AlexListens Billing Increments and the Moments System
Certain AlexListens voice plans may use “Moments” or other usage units.
Unless otherwise stated:
- 1 Moment equals 1 minute of conversation time
- Usage is measured in seconds
- Billing occurs in 6-second increments
- All usage is rounded up to the nearest 6-second billing increment
- Usage continues while a call is active
- Billing stops when the call is properly ended by the user or system
- System-recorded usage controls billing
For example, a conversation lasting 3 minutes and 18 seconds equals 198 seconds and would be billed as 3.3 Moments.
You are responsible for ending calls when finished. If a call remains active, usage may continue to accrue.
System measurements are final unless the Company determines, in its sole discretion, that a clear technical error occurred.
22. Refunds, Cancellations, and Performance
Refunds and cancellations are governed by the terms shown at checkout, in your account, in the offer, or in any separate written agreement.
Unless otherwise stated:
- Payments are non-refundable once digital access has been granted
- Subscription payments are non-refundable once the billing period begins
- Usage-based charges are non-refundable once usage occurs
- Consulting, strategy, implementation, or custom work is non-refundable once work begins
- Downloadable, digital, AI-generated, or immediately accessible products are non-refundable once delivered or accessed
- Access to a digital platform constitutes performance by the Company
The Company may, in its sole discretion, provide refunds, credits, extensions, or accommodations. Providing one refund or accommodation does not obligate us to provide others.
23. Fair Use and Reasonable Usage Limits
Certain plans may describe access as “unlimited.”
“Unlimited” means unrestricted for typical, everyday human use within normal patterns, based on system averages, operational requirements, and platform integrity considerations.
Unlimited does not mean:
- Automated usage
- Bot-driven usage
- Scraping
- Resale
- API-like consumption without permission
- Continuous or around-the-clock usage
- Excessive message volume
- Excessive call duration
- System-straining usage
- Abuse of platform resources
- Circumvention of limits
- Shared access by multiple unauthorized users
- Usage that materially exceeds reasonable human patterns
- Usage that creates technical, financial, legal, safety, or operational risk
If usage is excessive, abnormal, automated, exploitative, system-impacting, or otherwise inconsistent with fair use, the Company may, in its sole discretion:
- Throttle usage
- Slow response speed
- Introduce pauses
- Require identity, account, or security verification
- Review account activity
- Require plan changes
- Recommend or require a high-volume plan
- Limit usage
- Restrict features
- Suspend access
- Terminate access
All determinations of excessive, abnormal, automated, abusive, or system-impacting usage are made solely by the Company using internal system metrics, operational requirements, and platform integrity considerations.
Such determinations are final unless the Company determines there was a clear technical error.
The Company may offer enhanced, high-volume, enterprise, caregiver, facility, agency, or organizational plans for users or organizations whose needs exceed standard consumer usage.
The Company may communicate with users whose usage approaches or exceeds Fair Use thresholds, but we are not required to provide advance notice before taking action when necessary to protect the Services, users, systems, vendors, or Company.
Fair Use enforcement is intended to keep the Services available, responsive, affordable, and sustainable.
24. Account Security
You are responsible for maintaining the security of your account, login credentials, devices, payment methods, and access.
You agree not to share credentials except where explicitly permitted by the plan.

The Company may restrict, suspend, or terminate access for violations or suspected violations.

All content, branding, trademarks, names, logos, designs, software, prompts, workflows, agents, automations, code, models, methodologies, frameworks, reports, scripts, copy, courses, documents, websites, layouts, graphics, videos, audio, newsletters, messages, systems, and other intellectual property associated with the Company or Services are owned by the Company, its affiliates, licensors, or partners.
You may not copy, reproduce, frame, scrape, modify, distribute, publish, resell, sublicense, reverse engineer, create derivative works from, or exploit Company intellectual property without prior written permission.
Use of the Services does not transfer ownership of any Company intellectual property to you.

29. SMS Messaging Terms
Some Services may send SMS or text messages, including ThankYouGram notifications, account notices, reminders, delivery notices, or user-initiated messages.
Message frequency varies by program.
Message and data rates may apply.
For ThankYouGram:
- Program Name: ThankYouGram Notifications
- Message Purpose: Notification and delivery of a ThankYouGram sent by another user
- Message Frequency: One message per ThankYouGram unless otherwise disclosed
- Opt-Out: Reply STOP
- Help: Reply HELP or contact [email protected]
Phone numbers used for transactional delivery are not used for marketing unless the recipient separately and explicitly opts in.
If you provide a phone number, you represent that you have the right to provide that number and initiate the message.
The Company is not responsible for carrier delays, blocked messages, incorrect numbers, recipient reactions, or user misuse.
31. Dispute Resolution: Binding Individual Arbitration
Except for the carve-outs below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, purchases, subscriptions, billing, data practices, communications, AI outputs, user content, or your relationship with the Company shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, unless another AAA rule set is required by law or mutually agreed in writing.
Arbitration shall take place in Wyoming unless otherwise required by applicable law.
You and the Company agree that arbitration will be conducted only on an individual basis.

This obligation survives termination of your account or use of the Services.

- Your usage is abusive, abnormal, excessive, automated, or system-impacting
